Why Choose This Module
When a company forms in one state and does business in others, it accumulates a web of obligations: a domestic registration in its home state and a foreign qualification in every other state where it transacts business. Each of those authorities has its own registered agent, its own state file number and its own recurring report — the secretary-of-state annual (or biennial) report — that must be filed on time. Miss one and the state quietly pushes the company out of good standing: it can administratively dissolve the domestic entity or revoke the foreign authority, which can void contracts, close the courthouse door and trigger reinstatement fees and back penalties.
